Welcome to Zetu Investments, operated by Zetu Riftridge Investments Africa Ltd, a private limited company incorporated in Kenya under the Companies Act, 2015 (Company No. PVT-6Y1Y3LMY).

By accessing or using our platform (the "Service"), you agree to these Terms of Service ("Terms"). Please read them carefully before investing or engaging with any financial product listed on the platform.

To use Zetu Investments, you must meet the following requirements:

• Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher
• Be a resident of Kenya or a jurisdiction where our services are legally available
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete information during registration
• Not be prohibited from using financial services under any applicable law or regulation

Zetu Investments provides a digital platform that enables individuals and groups to:

• Discover regulated investment products offered by licensed asset managers and financial institutions
• Learn about financial instruments and investing principles
• Invest directly in select funds through integrated partnerships

To encourage disciplined investing and ensure meaningful returns:

• All new funds invested through Zetu Investments are subject to a default one-month lockup period, regardless of the underlying fund's policy
• During this period, withdrawal requests will not be processed except for select funds designated as "Instant Access Funds"
• The purpose of this policy is to help investors observe the growth of their investments, reduce impulsive withdrawals, and build a long-term investing culture

• Fund performance data, interest rates, and returns are provided by respective fund managers and institutions
• Zetu Investments updates all fund data promptly in accordance with each institution's official update schedule
• Where possible, we may update earlier than the institution to maintain accuracy and transparency
• All performance returns are passed in full to the investor

By investing through Zetu Investments, you acknowledge that:

• All investments carry inherent risk, including possible loss of principal
• Historical performance does not guarantee future returns
• You have read, understood, and accepted the terms and disclosures provided for each investment product
• You are solely responsible for your investment decisions, though Zetu may provide educational guidance and data tools (including the Zetu Investment Assistant "ZIA")
• You should conduct your own due diligence and, where appropriate, consult with independent financial, legal, or tax advisors before making investment decisions

• Educational materials, market insights, and guidance provided through the Zetu Investment Assistant (ZIA) or other platform features are for informational purposes only
• This content does not constitute financial advice, investment recommendations, or solicitations
• Zetu Investments makes no guarantees regarding investment outcomes based on educational content or ZIA interactions
• Users should not rely solely on platform-provided information when making investment decisions

• All investment products available on Zetu Investments are offered through regulated fund managers licensed by the Capital Markets Authority (CMA) or other relevant regulators
• Zetu Investments complies with Kenya's Data Protection Act, 2019, and applicable KYC (Know Your Customer) and AML (Anti-Money Laundering) requirements
• Users must provide accurate personal and financial information as required for onboarding and verification
• Zetu reserves the right to request additional documentation to verify identity and comply with regulatory requirements

• Zetu Investments collects, processes, and stores user data in accordance with Kenya's Data Protection Act, 2019
• We collect personal information including but not limited to: name, identification documents, contact information, financial information, and transaction history
• Your data may be shared with fund managers, custodians, payment processors, and regulatory authorities as necessary to facilitate investments and comply with legal obligations
• We implement appropriate technical and organizational measures to protect your data
• Users have the right to access, correct, or request deletion of their personal data subject to legal and regulatory requirements

• Zetu Investments does not charge additional commissions or transaction fees for investments made through the platform
• Fees applicable to each fund (such as management fees, custodial fees, or performance fees) are determined by the respective fund managers and disclosed in their prospectuses
• Users are responsible for reviewing and understanding all fees associated with their chosen investment products
• Any future platform fees will be communicated with reasonable advance notice

• Users are solely responsible for determining and fulfilling all tax obligations arising from their investments
• Zetu Investments does not provide tax advice
• Investment returns may be subject to capital gains tax, withholding tax, or other applicable taxes under Kenyan law
• We strongly recommend consulting with a qualified tax advisor regarding your specific tax situation
• Zetu may provide transaction statements or reports but does not guarantee their suitability for tax filing purposes

• Withdrawal processing timelines are determined by each fund manager's policy
• All withdrawals are subject to the completion of the applicable lockup period
• Zetu Investments facilitates withdrawal requests promptly upon approval from the fund manager and after the expiry of any applicable lockup period
• In cases of system or processing delays, Zetu will communicate transparently with affected investors
• Withdrawal requests must be submitted through the platform's designated channels

• Users are responsible for maintaining the confidentiality of their login credentials and investment accounts
• Important: Zetu Investments will never request your password via email, phone, or messaging platforms
• You must notify us immediately of any unauthorized use or suspected breach of your account security
• You are responsible for all activities that occur under your account
• We recommend enabling two-factor authentication and using strong, unique passwords

Users agree not to:

• Provide false, inaccurate, or misleading information
• Engage in fraudulent, deceptive, or manipulative practices
• Attempt to gain unauthorized access to the platform, other accounts, or systems
• Use the platform for money laundering, terrorist financing, or other illegal activities
• Interfere with or disrupt the platform's operation or security
• Copy, reproduce, or distribute platform content without authorization
• Use automated systems (bots, scrapers) to access the platform without permission
• Violate any applicable laws, regulations, or third-party rights

To the maximum extent permitted by law, Zetu Investments shall not be liable for:

• Losses resulting from market fluctuations, fund performance, or investment decisions
• Delays, interruptions, or technical issues beyond our reasonable control
• Errors or omissions in data supplied by third-party institutions
• Unauthorized access to or alteration of your data or transmissions
• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities

In the event of any dispute, controversy, or claim arising from these Terms or the Service:

1. Informal Resolution: Users should first contact Zetu Investments at support@zetuinvestments.africa to attempt to resolve the matter informally
2. Complaint Handling: We will acknowledge complaints within 3 business days and endeavor to resolve them within 30 days
3. Mediation: If informal resolution fails, both parties agree to attempt mediation before pursuing litigation
4. Governing Law: These Terms are governed by the laws of Kenya
5. Jurisdiction: Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya

Termination by Zetu:

Zetu Investments reserves the right to suspend or terminate accounts that:

• Violate these Terms or applicable laws
• Are associated with fraudulent or suspicious activity
• Remain inactive for prolonged periods (typically 24 months)
• Fail to complete required verification procedures

We will provide reasonable notice before termination except in cases of serious violations or legal requirements.

Termination by User:

Users may close their accounts at any time after:

• Settling all active investments and obligations
• Completing any pending transactions
• Providing written notice to support@zetuinvestments.africa

• We may update or modify these Terms periodically to reflect platform improvements, regulatory changes, or new services
• Material changes will be communicated through the platform, email, or other appropriate channels at least 30 days before taking effect
• Continued use of the Service after changes take effect constitutes acceptance of the updated Terms
• If you do not agree to updated Terms, you must stop using the Service and may close your account

• All content, features, functionality, designs, logos, trademarks, and software on the Zetu Investments platform are owned by Zetu Riftridge Investments Africa Ltd or its licensors
• "Zetu Investments," "ZIA," and related marks are trademarks of Zetu Riftridge Investments Africa Ltd
• Users are granted a limited, non-exclusive, non-transferable license to access and use the platform for personal investment purposes only
• Users may not reproduce, distribute, modify, create derivative works, publicly display, or commercially exploit any platform content without prior written permission
• Investment product information and prospectuses remain the intellectual property of their respective fund managers

Zetu Investments shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, epidemics, or pandemics
• War, terrorism, civil unrest, or government action
• Labor disputes or strikes
• Internet, telecommunications, or utility failures
• Regulatory changes or market closures
• Acts or omissions of third-party service providers

During force majeure events, our obligations under these Terms shall be suspended to the extent affected.

Severability:

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Entire Agreement:

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Zetu Investments regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

No Waiver:

The failure of Zetu Investments to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Zetu Investments.
